Terms of service
Last updated October 1, 2026
These terms cover buying Vistapane licenses, support plans and installation from Vistapane LLC, an Arizona limited liability company ("Vistapane", "we", "us"). They also cover using vistapane.com. "You" means the organization that buys or uses them. Using the software itself is covered by the end user license agreement, and support plans are described in the support terms. Together with your quote or order, these documents make up our agreement.
1. Quotes and orders
We price each server license by quote. A quote is valid for 30 days unless it says otherwise. An order is placed when you accept a quote in writing (email is fine) or pay its invoice. If your purchase order has terms that conflict with these, these terms apply unless we both sign something that says otherwise.
2. Prices and payment
- Prices are in US dollars and don't include sales tax, VAT or similar taxes. Where these apply, they are added to your invoice.
- Invoices are due within 30 days of the invoice date unless the invoice says otherwise. You can pay by card or bank transfer through the payment link on the invoice.
- We send your license key (or offline license file) when you place the order. You don't have to wait for payment to clear.
- Support plans are billed monthly in advance, per server.
- We can change our prices for future terms. We'll tell you at least 60 days before a change affects your renewal.
3. Term and renewal
A server license runs for one year from the day it's issued. About 30 days before it ends, we send you a renewal invoice. Paying it adds a year to the current end date, so you never lose time by paying early. A license doesn't renew on its own: if you don't pay, it simply ends on its end date. From then on, your screens show an "Unlicensed" mark until you renew. Your content and settings stay on your server.
4. Support plans
Essential and Premium support are monthly, per server, and run until you cancel. You can cancel any month by email. The plan then stops at the end of the month you've already paid for. What each plan includes and how fast we respond are set out in the support terms.
5. Installation
Remote setup is a fixed price. On-site installation is quoted by location and number of screens. Travel outside the area named in the quote is billed at cost. You provide the PCs, displays, tablets, network access and a contact who can let us in. If you cancel an on-site visit less than 2 business days before it's due, we may charge for travel we can't recover.
6. Refunds
- First license: if Vistapane isn't right for you, ask within 30 days of your first license order and we'll refund that license fee in full. We then turn off the license. This applies once per organization and not to renewals.
- Support plans: no refunds for a month that has started.
- Installation: no refunds once the work is done. If we can't finish the job because of a problem on our side, we refund the part we didn't do.
7. Suspension and ending
If an invoice is more than 30 days overdue, we'll email you. If it's still unpaid 15 days after that email, we may suspend the license until it's paid. Either of us can end the agreement if the other seriously breaks it and doesn't fix the problem within 30 days of being told. If we end it because of something we did, we refund the unused part of any prepaid license fee. Sections 2 (for amounts owed), 8 and 10 continue after the agreement ends.
8. Warranties and liability
We'll provide services with reasonable skill and care. Other than that, and except as the license agreement says, everything is provided "as is". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
To the extent the law allows, neither of us is liable to the other for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability under this agreement is limited to the fees you paid us in the 12 months before the claim. These limits don't apply to your obligation to pay, or to either side's fraud or willful misconduct.
Emergency alerts: Vistapane's alert feature shows messages on screens. It isn't a fire alarm, mass notification system or other life-safety system, and it doesn't replace one. Read the license agreement for details.
9. This website
You may read and share pages on vistapane.com. Please don't attempt to break, overload or scrape it. The Vistapane name and logo are ours, and nothing here grants a right to use them. The privacy policy explains what the site and our services collect.
10. General
- Law and courts: the laws of the State of Arizona govern this agreement, without regard to conflict-of-law rules. Any dispute goes to the state or federal courts located in Arizona.
- Changes: we may update these terms. The new version applies from your next order or renewal. We'll post it here with a new date, and we'll email current customers about any important change.
- Notices: by email, to hello@vistapane.com for us, and to the contact email on your order for you.
- Events outside our control: neither of us is responsible for delays caused by things we can't reasonably control, such as internet or power outages, natural disasters or a provider failing. This doesn't excuse paying an invoice.
- Assignment: neither of us may transfer this agreement without the other's consent, except as part of a merger or sale of the business.
- Everything else: if a court finds part of these terms unenforceable, the rest still apply. Not enforcing a term isn't a waiver. This agreement is the whole agreement between us on its subject.
